This document is an electronic record in accordance with the Information Technology Act, 2000. It is generated by a computer system and does not require any physical or digital signature. This document constitutes the Terms of Service (‘Terms’) and governs your access to and use of the VASSUP platform, website, and services as a viewer or attendee (‘User,’ ‘you,’ or ‘your’). These Terms constitute a legal and binding agreement between you, as a user of VASSUP, and VASSUP Technologies Private Limited, hereinafter referred to as VASSUP, setting out the terms governing your use of our website. By accepting these Terms in any manner, you consent, agree, and undertake to abide by this present agreement. You are advised to read these Terms in their entirety before creating an account on VASSUP or using our website. You are not entitled to use our platform or the services provided by us if you do not agree to these Terms of Service.

VASSUP operates as a marketplace and ticketing intermediary that allows independent Creators/Hosts to sell tickets for and broadcast live interactive video streams to a limited audience. VASSUP does not produce, direct, curate, or control, directly or indirectly, whether expressly or impliedly, the content of any live stream. Creators/Hosts are independently responsible for the content they host, create, and deliver. VASSUP disclaims any liability arising from content exclusively created, hosted, and performed by the Creator/Host. VASSUP shall not be held responsible for any comments, observations, skills, acts, conduct, or other content displayed or communicated during an event or online show by the Creator/Host, or ticket buyer.

By creating an account, purchasing a ticket, or accessing a live stream on VASSUP, you agree to be bound by these “TERMS OF SERVICE,” our “PRIVACY POLICY,” and our “REFUND AND CANCELLATION POLICY.” If you do not agree to any part of these Terms, you must not use the platform, and any use thereafter shall be unauthorised and contrary to applicable law.

As this is a dedicated online platform, the Terms of Service, Privacy Policy, and Refund and Cancellation Policy may be amended from time to time, and the latest version, along with the date of amendment, will be displayed at the top of each policy.

VASSUP is a company incorporated under the laws of India, having its Head Office at 11/5B Pusa Road, 2nd Floor, New Delhi, Delhi, 110005, India. VASSUP is an interactive platform that acts solely as an intermediary between you and the Creator/Host, enabling you to experience the audio and video content live-streamed by the Creator/Host. VASSUP engages third-party service providers to facilitate various aspects of the interaction, payment, and streaming between you and the Creator/Host, and such third-party services will be governed by their respective terms of use and policies available on their platform. VASSUP disclaims any liabilities arising from their policies.

The present Policy governs the following:

1. Account Registration and Eligibility

Age Requirement: You must be at least 18 years of age to create an account and purchase tickets on VASSUP. By registering, you represent and warrant that you meet this age requirement. Minors (i.e., person below 18 years of age) are strictly prohibited from creating an account on our platform or making any transactions through it. VASSUP relies on the age declared by users at the time of account registration/creation, which we accept in good faith, and we reserve the right to terminate accounts if a user is found to have misrepresented their age.
Account Security: VASSUP uses a password-less authentication system through One-Time Passwords (OTPs) sent to your registered email address. You are responsible for maintaining the security of your email account and for not sharing OTPs with any other person, even in good faith. Any activity occurring through your VASSUP account will be your responsibility, whether or not it was authorised by you.
One Account Per User: Each email address may be associated with only one VASSUP account. You must not create multiple or fake accounts. The creation or use of multiple or fake accounts may result in the permanent termination of your VASSUP account.
Account Closure: You may close your account at any time through your dashboard. Closing your account will result in the loss of access to all purchased content and the withdrawal of essential data-processing consents, subject to our data-retention obligations under applicable Indian laws.

Technical Requirements and Compatibility

Access to live streams requires a compatible device, browser, and network connection. Before you purchase a ticket, and again before a session begins, VASSUP runs an automated compatibility check (of your device’s media capabilities, network connectivity, and connection quality). If your setup does not meet the requirements, we will display a warning. If you choose to proceed despite such warning, you do so at your own risk.

Required

A supported, up-to-date browser – currently, the latest version of Google Chrome or Apple Safari. Other browsers are not supported.
A stable, high-speed internet connection on an unrestricted network that permits UDP (User Datagram Protocol) traffic. VPNs (Virtual Private Networks) and proxies are strictly prohibited and will prevent the Service from working. You must not use a VPN or proxy to access the Service.
You must not switch to another application or send the browser or app to the background during a session, as this may disrupt your connection on a laptop or desktop device and will disrupt the connection on a mobile device.

Recommended

A desktop or laptop (Windows or Mac) connected to a high-speed broadband or Wi-Fi network provides the best experience. If you use a mobile device, you may use a current high-end Android device with the latest version of Chrome, or an Apple device with the latest version of Safari or Chrome. Please note that full-screen and installable Progressive Web App (PWA) features are available on Android, while on iOS, the PWA functionality can only be added to the home screen.
On mobile devices, use a good quality earphone with a microphone, preferably a wired device rather than a Bluetooth-connected device.
Prevent interruptions from incoming calls for the duration of a session — for example, by enabling Do Not Disturb (DND), setting up call forwarding, or otherwise disabling incoming calls. Any calling or VoIP (Voice over Internet Protocol) applications installed on your desktop or laptop should likewise be closed or set to Do Not Disturb, as an incoming call can interrupt or disrupt your session.
It is your responsibility to ensure that your device, browser, network, and settings meet these requirements. To the extent permitted by law, VASSUP shall not be liable, and no refund shall be issued, for any inability to access or any disruption of a session caused by your device, browser, network, VPN or proxy, or settings. Please also refer to our Refund and Cancellation Policy.

Account Rejection: VASSUP reserves the right to reject the creation of your account. VASSUP also reserves the right to suspend, terminate, or permanently delete your account if you are found to be in violation of VASSUP’s policies.

2. Ticket Purchases and Access

Marketplace Role: VASSUP provides the platform and ticketing infrastructure, acting as an intermediary between you and the Creator/Host. VASSUP does not produce, direct, or control, directly or indirectly, whether expressly or impliedly, any part of the content of live streams. Your ticket purchase is a transaction for access to a specific Creator’s/Host’s live session or show, facilitated by VASSUP as an intermediary.
Pricing and Taxes: All ticket prices are determined exclusively by the respective Creators/Hosts. VASSUP has no role in determining the price of any ticket or show. For purchases made within India, applicable taxes (such as GST) will be displayed during the checkout process and added to the final payable amount.
Purchase Location: At the time of ticket purchase, you are required to provide your current location (the Indian State in which you are located, or “Outside India”). This information is used to determine the applicable tax treatment (IGST or CGST/SGST) and for billing and invoicing purposes. You are responsible for providing accurate location information. VASSUP relies on your self-declared location in good faith and is not liable for any tax discrepancy arising from inaccurate or misrepresented location data provided by you.
Concurrent Session Limitation: VASSUP enforces a one-active-session-per-account rule as a security and identity accountability measure. Only one streaming session may be active under your account at any given time, whether you are attending a stream as a Viewer or hosting a stream as a Creator/Host. If you initiate or join a second session while another session is already active under your account, the existing session will be automatically disconnected, regardless of your role in either session. VASSUP does not prevent you from purchasing tickets for streams that overlap in time and duration, and it is your sole responsibility to manage your schedule accordingly. No refund shall be issued if you are unable to attend, or are disconnected from a stream due to a concurrent-session conflict arising from your own scheduling decisions. This applies irrespective of the ticket price, the timing of your purchases, or the order in which sessions were booked. Please refer to our Refund and Cancellation Policy for the complete list of refund-eligible circumstances.
Non-Transferability: Tickets are personal to the registered account holder and are strictly non-transferable. Only the person whose account was used to purchase the ticket may attend the live stream. Sharing your login credentials or OTP with another person to enable them to attend the live stream on your behalf constitutes a violation of these Terms and may result in your removal from the show and/or suspension of your account. VASSUP shall not be liable for any unauthorised access to your account resulting from your failure to keep your login credentials or OTP secure.
Refunds and Cancellations: Tickets are for time-bound, limited-capacity live sessions, and no refund or cancellation shall be available except in the limited circumstances specified in our Refund and Cancellation Policy (such as cancellation or rescheduling by the Creator/Host or VASSUP, or a qualifying platform-wide technical failure). Please refer to our Refund and Cancellation Policy for full details.

3. User Conduct and Acceptable Use

VASSUP is designed to be a safe, interactive, and respectful platform. As a Viewer participating in a livestream and engaging in sending reactions, direct messages to the Host, or voice communication (if permitted by the Host), you agree to maintain cordial and respectful behaviour at all times.

You strictly agree NOT to:

Harass or Abuse: Engage in harassment, bullying, intimidation, or the use of abusive, defamatory, or threatening language toward the Creator/Host, moderators, other attendees or any other individual.
Spread Hate Speech: Post or transmit content that promotes violence, discrimination, or hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
Spam or Disrupt: Send repetitive messages, engage in self-promotion, share external links, or transmit irrelevant content that may distract the Host or disrupt the flow of the event.
Share Inappropriate Content: Transmit sexually explicit, obscene, pornographic, paedophilic, or otherwise illegal content.
Pirate or Restream: Record, capture, screen-record, screenshot, download, rebroadcast, or distribute any part of a livestream without the Creator’s/Host’s explicit written permission. This includes sharing clips, audio excerpts, or transcriptions of stream content on any external platform.
Impersonate: Misrepresent your identity or impersonate any person or entity, including a Creator/Host, moderator, or VASSUP representative.
Circumvent Platform Controls: Attempt to bypass, disable, interfere with, or otherwise circumvent any security, access-control, or technical feature of the platform.
Spread False or Misleading Information: Post, share, or transmit information that is patently false or misleading, or present such information in a manner that may reasonably cause it to be perceived as factual.
Threaten Unity and Integrity: Post, share, or transmit content that threatens or undermines the unity, integrity, sovereignty, defence, or security of India.
Post Political or Religious Abuse: Make threatening, abusive, or offensive comments against any politician, political party, religion, religious group, or religious belief, or intentionally attempt to hurt religious sentiments.
Violate Intellectual Property Rights: Upload, share, transmit, or use any content in a manner that infringes or violates any patent, trademark, copyright, or other intellectual property right.
Engage in Racism or Discriminatory Conduct: Make racist, discriminatory, or derogatory comments against any person or group on the basis of race, ethnicity, colour, gender, age, religion, disability, or any other protected characteristic.

4. Enforcement and Account Suspension

The Creator/Host and their moderators have full discretion to manage their live rooms. VASSUP also reserves independent enforcement authority at the platform level.

In-Stream Actions by Host: You may have your voice session ended, be blocked from messaging or using the Raise Hand feature, or be permanently removed from a live stream by the Creator/Host or their moderators for violating the rules of conduct or the Host’s room rules, without any right to a refund. VASSUP also reserves the right to restrict your access to the whole or any part of the streaming session if you engage in any conduct that violates VASSUP’s code of conduct.
Platform Suspension: VASSUP reserves the right to monitor reports of abuse and may, at its sole discretion, issue warnings, temporarily suspend, or permanently terminate your account for violations of these Terms. If your account is terminated for violating our code of conduct, you will lose access to all previously purchased tickets without compensation or refund.

5. Intellectual Property Rights

All content broadcasted on the platform, including video, audio, graphics, and performance elements, is the intellectual property of the respective Creator/Host or their licensors.

Your purchase of a ticket grants you a limited, non-exclusive, non-transferable, revocable licence solely to view the livestream for personal, non-commercial entertainment during the live session. It does not grant you any ownership rights, reproduction rights, or any right to reuse, redistribute, or create derivative works from the content.

You agree not to, either directly or through the use of any device, software, website, web-based service, or other means, copy, download, capture, reproduce, duplicate, archive, distribute, upload, publish, modify, translate, broadcast, perform, display, sell, transmit, retransmit, or otherwise exploit the Content, or create any work or material derived from or based on the Content. This prohibition applies regardless of whether such derivative works or materials are sold, bartered, shared, or otherwise distributed.

You further acknowledge and agree that the VASSUP platform, software, trademarks, branding, and design are owned by VASSUP, while the Creator’s/Host’s channel and stream content (both static and live) are owned by the respective Creator/Host or their licensors. Your ticket grants only a limited, non-exclusive, non-transferable, revocable licence to view the livestream; and, you acquire no ownership or other rights in the Content. Any unauthorised recording, re-streaming, distribution, or other use of the content may constitute a violation of applicable intellectual property laws.

6. Privacy and Data Protection

Your privacy is important to us. Our data collection, processing, and retention practices, including your rights, are described comprehensively in our Privacy Policy. By using the platform, you acknowledge and consent to the data practices described therein.

7. Electronic Communications

By creating an account on VASSUP, you consent to receiving electronic communications from us, including but not limited to, One-Time Passwords (OTPs) for authentication, transaction receipts and payment confirmations, notifications regarding stream cancellations or schedule changes, policy update notices, and account-related alerts.

You agree that all communications sent to you electronically satisfy any legal requirement for such communications to be in writing.

8. Third-Party Content and Services

During a livestream, a Creator/Host may reference, display, or share links to third-party websites, products, services, or content. VASSUP does not endorse, verify, or assume any responsibility for third-party content or services referenced, displayed or linked during a stream.

Your interaction with any third-party website, product, or service linked or mentioned during a livestream is solely between you and the relevant third party. VASSUP shall not be liable for any loss, damage, or harm arising from your reliance on or use of any third-party content, products, or services.

Additionally, VASSUP uses third-party service providers for payment processing, identity verification, and infrastructure. Your use of such services is subject to the respective third party’s terms and privacy policies.

VASSUP disclaims any liability arising from any third-party website, product, service, or content linked or mentioned during a livestream, or from any third-party service provider engaged by VASSUP to provide or facilitate its services.

9. Disclaimers and Limitation of Liability

9.1 Content Disclaimer

VASSUP does not pre-screen, produce, direct, or guarantee the accuracy, quality, or integrity of content delivered by Creators/Hosts. You attend livestreams at your own discretion and risk. Buyers are encouraged to review a Creator’s/Host’s publicly available stream scores, ratings, and reviews before purchasing a ticket.

VASSUP does not control, determine, or assume responsibility for the content provided by Creators/Hosts, whether directly or indirectly, and does not endorse or guarantee such content. Accordingly, VASSUP disclaims any liability arising from or relating to the content, statements, representations, or conduct of any Creator/Host.

9.2 Technical Disclaimer

While we strive to maintain high availability, VASSUP does not guarantee uninterrupted or error-free service. We are not liable for your inability to access a stream due to your local internet connection, hardware or software limitations, browser incompatibility, VPN interference, or network restrictions. VASSUP’s media architecture routes all streams through our media servers, and there is no peer-to-peer connection between users.

9.3 Service Provided “As Is”

The VASSUP platform and all services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.4 Limitation of Liability

To the maximum extent permitted by applicable Indian law, VASSUP, its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the platform, the conduct of any Creator/Host, or the content of any livestream. In any event, VASSUP’s total aggregate liability to you for any and all claims arising from or relating to a specific transaction shall not exceed the ticket price paid by you for that specific transaction.

9.5 Cancellation of the Event

VASSUP or the Creator/Host reserves their right to cancel an event at any time for any reason. In the event of a cancellation, you will be eligible for a refund in accordance with the applicable refund policy. Any refund payable to you in connection with such cancellation shall be subject to the applicable refund terms and shall not affect the limitation of liability set out in Section 9.4.

10. Indemnification

You agree to indemnify, defend, and hold harmless VASSUP, its affiliates, officers, employees, agents, and partners from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including legal fees) arising from or relating to:

Your breach of these Terms or any applicable law of India.
Your conduct on the platform, including any content you transmit through messages, audio, or reactions.
Your violation of any rights of a third party, including intellectual property or privacy rights.
Any dispute between you and a Creator/Host arising from or relating to a livestream.
Any unauthorised use of your account resulting from your failure to maintain the security of your account credentials or comply with applicable account security requirements.
Your breach of any terms or conditions of any VASSUP policy applicable to you.
Any loss, disclosure, misuse, or compromise of your personal or non-personal data resulting from your disclosure of such data to a third party or from your use of third-party services.
Any criminal act committed by you during a livestream.

11. Force Majeure

VASSUP shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay results from circumstances beyond VASSUP’s reasonable control, including, but not limited to, natural disasters, epidemics or pandemics, acts of government (including internet shutdowns, curfews, or regulatory orders), war, terrorism, civil unrest, widespread internet or telecommunications failures, power outages, or failures of third-party infrastructure providers.

In such events, VASSUP reserves the right, at its sole discretion, to reschedule the affected livestream to a later date or issue a full refund to the affected ticket holders. VASSUP will notify affected users as soon as reasonably practicable and communicate the chosen course of action through email and/or a notice on the platform.

12. Governing Law, Dispute Resolution, and Jurisdiction

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. These Terms are provided in English, and the English version shall prevail in the event of any conflict or inconsistency with any translated version.

12.2 Court Jurisdiction

You agree that VASSUP has the right to bring any proceedings arising out of or relating to your use of the Services before any court or forum of competent jurisdiction, and you irrevocably submit to the jurisdiction of such court or forum. Any proceedings brought by you against VASSUP shall be instituted exclusively before the courts at New Delhi, India.

12.3 Statutory Rights

Nothing in these Terms, including the governing-law and jurisdiction provisions above, limits or affects any statutory rights or remedies you may have under applicable laws of India.

13. Changes to These Terms

We reserve the right to modify these Terms from time to time to reflect changes in our practices, technology, legal requirements, or the evolving regulatory framework. When we make changes to these Terms:

The “Last Updated” date at the top of the Terms page on our website will reflect the most recent version of these Terms.
We advise you to read these Terms from time to time and check the “Last Updated” date at the top of the Terms page.
Your continued use of the platform after the “Last Updated” date constitutes your acceptance of the revised Terms.

14. General Provisions

Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, contradictory, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.
Entire Agreement: These Terms, together with the Privacy Policy and the Refund and Cancellation Policy, constitute the entire agreement between you and VASSUP with respect to your use of the platform as a Viewer or attendee. They supersede all prior or contemporaneous agreements, understandings, negotiations, or representations, whether written or oral, relating to the subject matter hereof.
No Waiver: VASSUP’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any term shall be effective only if made in writing and signed by an authorised representative of VASSUP.
Assignment: You may not assign or transfer your rights or obligations under these Terms to any third party without VASSUP’s prior written consent.
